These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and K13 Networks LLC (“K13 Networks,” “we,” “us,” or “our”). By accessing our website, purchasing any products or services, or engaging with us in any way, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our website or purchase our services.

K13 Networks provides managed IT services, cybersecurity solutions, networking, technical support, hardware sales, software licensing, cabling/installation services, and related technology solutions. Detailed descriptions of our services are available on our website.

You represent that you are at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your company.

All quotes are valid for the period stated. A binding contract is formed only when we accept your order in writing (email confirmation or signed agreement). We reserve the right to refuse or cancel any order at our discretion.

• Prices are in U.S. Dollars and subject to change.
• Payment is due as specified on the invoice (net 15 days unless otherwise agreed).
• We accept major credit cards, ACH, and other approved methods via Stripe.
• Late payments may incur a 1.5% monthly finance charge.
• You authorize us to charge your payment method for all amounts due.

• Pre-Work Cancellations: You may cancel a service before work begins or hardware/software is ordered. A cancellation fee of up to 25% may apply to cover administrative and restocking costs.
• Ongoing Services / Managed Contracts: You may cancel monthly/annual managed services with 30 days written notice. You remain responsible for all charges up to the cancellation date.
• Project-Based Work: Once cabling, installation, or configuration work has started, cancellation is subject to payment for all work performed plus materials ordered.

All refunds and returns are governed by our separate Return Policy. In summary:

• Software: No refunds.
• Hardware: Covered only by manufacturer warranty.
• Cabling & Labor Services: Non-refundable once completed.

We do not issue refunds for change of mind after services have been rendered.

You agree to contact us directly to resolve any billing issues before initiating a chargeback or dispute with your payment provider. Any chargeback filed without prior good-faith effort to resolve with us may result in immediate termination of services and collection action.

We will perform services in a professional manner consistent with industry standards. However, we do not guarantee uninterrupted service, complete elimination of cybersecurity threats, or specific outcomes.

All software, documentation, reports, and materials we provide remain our property or that of our licensors. You receive a limited, non-exclusive license for internal use only during the term of your agreement.

To the fullest extent permitted by law, K13 Networks shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of data, revenue, or profits). Our total liability shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

All services and products are provided “AS IS.” We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose, except for the limited manufacturer warranties on hardware.

You agree to indemnify and hold K13 Networks harmless from any claims, damages, or expenses arising from your misuse of our services, violation of these Terms, or infringement of third-party rights.

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina.

We may update these Terms at any time. We will notify you of material changes by posting the new version on our website and updating the “Last Updated” date. Your continued use of our services constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy, Return Policy, and Promotions Terms & Conditions, constitute the entire agreement between you and K13 Networks.
